1. Scope

These terms apply to all contracts for the use of the Contabli software between CLOUPIX SUARL, Rue Île de Rhodes 10, 3ème étage, bureau A1, Immeuble Henda, 1053 Les Berges du Lac 2, Tunis, Tunisia, tax ID 1949932Q (“we”), and its customers.

Contabli is offered exclusively to professionals: companies, sole traders, liberal professions and public bodies. By signing up you confirm that you use Contabli for your professional activity. We do not enter into contracts with consumers.

Conflicting terms of the customer only apply if we expressly agree to them in writing.

2. Services

Contabli is browser-based software for creating and sending quotes and invoices, recording purchases and receipts, reconciling bank transactions and working with your accountant. The scope depends on the chosen plan as described at contabli.tn/tarifs. Features announced as “in preparation”, in particular submitting e-invoices to TTN, are not part of the services until they go live.

Contabli is a tool. We do not provide tax, accounting or legal advice. You remain responsible for the correctness of your invoices and records, your tax obligations, including e-invoicing where it applies to you, and the statutory retention of your documents.

We keep developing Contabli and may change features as long as the core of the agreed service is preserved and the change is reasonable for you.

3. Sign-up and trial

Signing up creates a contract for a free trial, for the period stated on the pricing page. The trial needs no payment method and ends at no cost.

If you do not choose a plan after the trial, your data is kept and you can export it at any time; the available features are then limited as described on the pricing page.

4. Prices and payment

The prices at contabli.tn/tarifs at the time of subscription apply. They are stated in Tunisian dinars excluding taxes; VAT at the applicable rate is added.

Fees are payable in advance for the chosen period (month or year), by online payment or bank transfer. You receive your invoice electronically.

If a payment is not made when due, we send a reminder. If it remains unpaid, we may limit access to reading and exporting until payment is received.

5. Term and cancellation

A subscription runs for the chosen period and renews for the same period unless cancelled beforehand.

You can cancel at any time to the end of the current period, directly in Contabli under “Subscription”. We do not refund amounts already paid for a current period. Plan changes are prorated.

Either party may terminate the contract for a serious breach by the other party after a formal notice has gone unheeded.

6. Price changes

We may change prices with at least six weeks' notice, effective from the next billing period. We announce the change by email. If you do not agree, you may cancel before it takes effect.

7. Availability

We strive to keep Contabli available at all times, without guaranteeing a specific availability. Where possible, planned maintenance takes place outside normal business hours.

8. Your obligations

Keep your login details secret and use two-factor sign-in. You are responsible for the actions of the people you invite to your company.

You must not misuse Contabli, in particular not store or send unlawful content or impair the security of the service.

We recommend exporting your data regularly.

9. Your data

Your data remains yours. You can export it at any time, including after cancellation until the end of the contract.

We process personal data you enter in Contabli on your behalf. The data processing agreement at contabli.tn/dpa forms part of this contract. Further information is in the privacy policy.

After the contract ends we delete your data within 90 days unless a legal obligation prevents this.

We do not use your data to train artificial intelligence models without your express and separate consent.

10. Liability

We are fully liable for fraud and gross negligence.

In all other cases, our liability is limited to direct and foreseeable damage and capped at the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect damage such as lost revenue or customers.

For loss of data we are only liable for the restoration effort that would have been needed had you regularly backed up your data by export.

11. Changes to these terms

We may change these terms for the future for a legitimate reason, such as a change in regulation or new features. We notify you of changes by email at least six weeks in advance. If you do not object before they take effect, they are deemed accepted; we point out this consequence in the notice. If you object, either party may terminate the contract as of the date the change takes effect.

12. Final provisions

This contract is governed by Tunisian law.

Any dispute relating to its formation, performance or interpretation that cannot be settled amicably falls under the exclusive jurisdiction of the courts of Tunis.

Should any provision be held invalid, the remaining provisions remain in force.

Electronic exchanges between the parties, and the logs and timestamps kept by our systems, are binding between them and admissible as evidence, unless proven otherwise, in accordance with Law No. 2000-83 of 9 August 2000 on electronic exchanges and commerce.
